Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the services, platform, and websites operated by Edgemaker Pte. Ltd. (“Edgemaker”, “we”, “our”, or “us”). By creating an account, accessing, or using our services, you agree to be bound by these Terms and our Privacy Policy.

If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree to these Terms, do not use our services.

Description of Services

Edgemaker provides an AI-powered omni-channel automation platform (“Services”) that enables organisations to automate customer engagement, community management, and workflows across messaging channels including WhatsApp, Telegram, Instagram, Facebook Messenger, and website chat.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We will not be liable to you or any third party for such modifications, suspensions, or discontinuations.

Account Registration

You must register an account to access the platform. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

You must notify us immediately at [email protected] if you become aware of any unauthorised use of your account. We are not liable for any loss resulting from unauthorised access caused by your failure to safeguard your credentials.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services to send unsolicited communications (spam) or in violation of any applicable messaging platform policy
• Use the Services to harass, abuse, threaten, or discriminate against any individual or group
• Attempt to reverse-engineer, decompile, or extract source code from our platform
• Use the Services to transmit malicious code, viruses, or any content that could damage systems or data
• Misrepresent your identity or impersonate any person or organisation
• Use the Services in any manner that could disable, overburden, or impair our infrastructure
• Resell or sublicense access to the Services without our written consent

We reserve the right to suspend or terminate accounts that violate these acceptable use standards without prior notice.

Intellectual Property

All intellectual property rights in the Edgemaker platform, including its software, design, trademarks, and documentation, are owned by or licensed to Edgemaker. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Services as described herein.

You retain ownership of all content and data you input into the platform (“Customer Data”). By using the Services, you grant Edgemaker a limited, non-exclusive licence to process Customer Data solely to provide and improve the Services.

Payment & Subscriptions

Access to the platform is subject to a subscription fee as described in your chosen plan. Subscriptions renew automatically at the end of each billing cycle unless cancelled. All fees are stated in USD and are non-refundable except where required by applicable law.

Payment is processed securely via Stripe. We do not store credit card details on our servers. If payment fails, we may suspend access to the Services until outstanding amounts are settled.

Plan upgrades take effect immediately; downgrades apply at the next billing cycle. You may cancel your subscription at any time and will retain access until the end of your paid period.

Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. Edgemaker will treat all Customer Data as confidential and will not disclose it to third parties except as set out in our Privacy Policy or as required by law.

Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that defects will be corrected.

AI-generated outputs are probabilistic and may not always be accurate. You are responsible for reviewing and validating any AI-generated content before relying on it for business decisions.

Limitation of Liability

To the fullest extent permitted by law, Edgemaker and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Services, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under or in connection with these Terms will not exceed the fees paid by you to Edgemaker in the twelve months preceding the claim.

Termination

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing use of the Services. We may terminate your access immediately and without notice if you materially breach these Terms.

Upon termination, your right to access the Services ceases immediately. We will retain your Customer Data for up to 90 days post-termination to allow for data export, after which it will be deleted in accordance with our data retention policy.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

Changes to Terms

We may revise these Terms from time to time. We will notify you of material changes via email or prominent notice within the platform at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
